Invoice, Accounting & Records Management Platform
1. Acceptance of Terms
This Terms of Service agreement ("Agreement", "Terms") constitutes a legally binding contract between THE ANS ("Company", "we", "us", or "our") and the legal entity or individual ("Customer", "User", "you") registering for, accessing, or using our online invoicing, accounting, and financial management application (the "Service", "Platform").
By checking the "I Agree" box, completing the registration process, or utilizing any portion of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company, partnership, or other legal corporate entity, you represent that you possess the legal authority to bind such entity to these conditions. If you do not agree with these Terms, you must immediately cease all use of the Service.
2. Eligibility & Account Security
- Business Purpose Only: The Service is designed and intended strictly for commercial business use, sole proprietorships, freelancers, and professional entities. It is not intended for personal, family, or household consumer purposes.
- Age Restraints: You must be at least 18 years of age and possess the legal capacity to form a binding contract under the Indian Contract Act, 1872.
- Account Accuracy: You agree to provide true, current, and complete information during registration (including accurate legal business names, GSTIN, and contact points) and to keep this information updated.
- Credential Protection: You are entirely responsible for maintaining the confidentiality of your account login IDs and passwords. You agree to notify THE ANS immediately of any unauthorized breach of security or access to your account. THE ANS will not be held liable for any loss resulting from unauthorized account exploitation.
3. Subscription Plans, Fees, & Billing
- Pricing: Access to specific Platform features is subject to the payment of fees corresponding to your selected subscription tier. All fees are listed exclusive of statutory taxes (such as CGST/SGST/IGST), which will be added at checkout.
- Payment Gateways: All payments are securely processed via integrated third-party payment gateways. By subscribing, you authorize THE ANS and our processing agents to recurringly charge your linked payment method at the beginning of each billing cycle.
- Non-Refundable: Unless explicitly stated otherwise or required under active legal statute, all fees paid for subscription cycles are strictly non-refundable and non-creditable for partial usage periods.
- Late Payments & Suspension: Failure to settle outstanding subscription amounts within seven (7) business days of the invoice date constitutes a material breach. We reserve the right to temporarily suspend or terminate your operational dashboard access until all dues are resolved.
4. Use of the Service & Prohibited Conduct
You are granted a non-exclusive, non-transferable, revocable right to navigate and utilize the Platform strictly in compliance with these Terms. You explicitly agree not to engage in the following actions:
- Using the Platform to generate fraudulent, deceptive, or misleading invoices, or to execute unauthorized gray-market financial transactions.
- Uploading, distributing, or processing data containing software viruses, malware, trojans, or code designed to interfere with system operations.
- Attempting to reverse-engineer, decompile, crawl, scrape, or extract the underlying source code, proprietary logic, or design configurations of the Platform.
- Bypassing, modifying, or disabling any integrated security firewalls, access roles, or structural encryption systems.
- Using the automated SMS or WhatsApp API pipelines to distribute spam, harassment, un-solicited marketing blasts, or non-billing content to third parties.
5. Proprietary Rights & Intellectual Property
- Our Ownership: THE ANS retains all right, title, and interest in and to the Platform, including but not limited to the user interface designs, software source code, graphics, algorithms, brand logos, databases, and trade secrets. No property rights are transferred to you under these Terms.
- Your License: You are granted a limited software-as-a-service (SaaS) usage license to access the tool features via web browser or mobile client during your active subscription period.
6. Customer Data & Financial Content
- Your Data Ownership: You retain full ownership, title, and intellectual property rights over all profiles, ledger records, financial transactions, client rosters, and invoice line items that you upload or input into the Platform ("Customer Data").
- Our Usage License: You grant THE ANS a limited, worldwide, royalty-free license to host, process, store, copy, and transmit your Customer Data solely as necessary to provide the features of the Service to you (such as processing tax reports, rendering PDF invoices, and routing data to automated WhatsApp/SMS APIs).
- Data Accuracy: You bear exclusive responsibility for the precision, legitimacy, completeness, and regulatory compliance of all figures, taxes, and client communication phone numbers logged into your workspace.
7. Automated WhatsApp & SMS Communications
- Spam Violations: The Platform provides automated notification routing via messaging integrations. You represent and warrant that you have obtained the explicit prior consent of your end-clients to send them transaction-related billing alerts, statements, and payment prompts on their telephone and WhatsApp accounts.
- Provider Compliance: You agree to abide by the explicit acceptable use policies enforced by our telecom aggregators and the META WhatsApp Business Platform.
- Indemnity for Blocks: If your account is flagged or blacklisted by telecom networks due to customer spam reports, THE ANS bears no liability, and you remain responsible for your underlying subscription dues.
8. Term & Account Termination
- Duration: This Agreement remains active until your account subscription expires or is explicitly terminated by either party.
- Termination by You: You can close and delete your subscription account at any time through your dashboard profile controls or by contacting customer support.
- Termination by Us: We reserve the immediate right to terminate or suspend your account, without prior notice, if you violate these Terms, breach statutory laws, cause cyber-security hazards, or if required by legal or government order.
- Effect of Termination: Upon account closure, your access to the dashboard is deactivated. In line with our Privacy Policy, your data will be deleted within thirty (30) days, except for system items bound to statutory tax records archiving mandates. It is your responsibility to export all ledgers, CSV balances, and historical PDFs prior to terminating your account.
9. Disclaimer of Warranties
THE PLATFORM AND ITS ASSOCIATED FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULARISED BUSINESS GOAL, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE COMPLETELY UNINTERRUPTED, CHRONICALLY TIMELY, SECURED AGAINST EVOLVING EXPLOITS, OR ABSOLUTELY ERROR-FREE. THE PLATFORM COMPUTES TAXES AND LEDGERS ACCORDING TO GENERAL SYSTEM EQUATIONS; IT DOES NOT CONSTITUTE PROFESSIONAL LEGAL, CERTIFIED TAX, OR FORMAL FINANCIAL ADVISORY. YOU MUST VERIFY ALL STATUTORY GST CALCULATIONS INDEPENDENTLY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF INDIA, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, SHAREHOLDERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS, DATA WIPING, LOSS OF GOODWILL, OR WORK STOPPAGES) ARISING OUT OF OR IN CONNECTION WITH USING THE SAAS SERVICE.
THE TOTAL CUMULATIVE LIABILITY OF THE COMPANY FOR ANY ENFORCEABLE ACTIONS OR CLAIMS ARISING OUT OF THIS CONTRACT SHALL NOT EXCEED THE TOTAL CASH AMOUNTS ACTUALLY PAID BY YOU TO THE COMPANY FOR THE SPECIFIC SERVICE SUBSCRIPTION GIVING RISE TO THE DISPUTE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless THE ANS and its officers from and against any third-party claims, financial losses, regulatory penalties, damages, or legal expenses (including attorney fees) arising from:
- Your misuse or illegal manipulation of the Platform features.
- Your breach of any structural provision or warranty in these Terms.
- Any claims that your Customer Data infringes the intellectual property, privacy, or DPDP Act data rights of a third party (including your end-clients).
12. Governing Law & Dispute Resolution
- Jurisdiction: This Agreement shall be governed, interpreted, and construed in accordance with the laws of the Republic of India, without regard to conflict of law concepts.
- Amicable Resolution: Before initiating formal legal actions, both parties agree to attempt to resolve any dispute or grievance amicably through direct corporate dialogue within thirty (30) days of notice.
- Arbitration: If unresolved, disputes will be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration venue shall be located at Ahmedabad, Gujarat, India. The proceedings will be conducted in the English language by a single mutually agreed arbitrator.
- Courts: Subject to arbitration, the courts located at Ahmedabad, Gujarat shall possess exclusive territorial jurisdiction over any legal matters arising from this contract.
13. Modifications to the Terms
We reserve the structural right to alter or replace these Terms at any time to accommodate software upgrades, security adjustments, or statutory legal variations. If a change is material, we will provide you with at least thirty (30) days' advance notification via your registered login email or a prominent system dashboard alert. Continued use of the platform following the modification date marks your explicit consent to the updated clauses.
